NOTICE OF ANNUAL MEETING

The Annual Meeting of the Members of Orion Financial will be held on Wednesday, March 18, 2026, at 3:00 p.m. at the Orion Financial Headquarters located at 400 Monroe Avenue, Memphis, TN 38103. The purpose of the meeting is to elect members to the Board of Directors and to conduct any other business that may properly come before the membership. All members are invited to attend.

In Case of Errors or Questions About Your Electronic Transfers

If you think your statement or receipt is wrong or if you need more information about a transfer listed on the statement or receipt, call us at the number below or write at the address below as soon as you can. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared.

• Tell us your name and account number (if any);

• Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information; and

• Tell us the dollar amount of the suspected error. If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.

We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. If we decide to do this, we will credit your account within 10 business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account. For errors involving new accounts, point-of-sale, or foreign-initiated transactions, we may take up to 90 days to investigate your complaint or question. For new accounts, we may take up to 20 business days to credit your account for the amount you think is in error. We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation. The following changes to Orion Financial’s Account Disclosure are effective January 1, 2026:

Under the section entitled “Fiduciary Accounts,” the following was added:

UTMA Accounts. Under the Tennessee Uniform Transfers to Minors Act (“UTMA”), the funds in this account are owned by the minor, and the custodian must transfer the custodial property to the minor (or the minor’s estate) when the custodianship terminates. Before termination, only the custodian may transact on the account, and the funds must be used solely for the minor’s benefit. You understand and agree that Orion Financial may not undertake to track, notify, or enforce the termination of the custodianship, and it is the custodian’s duty to transfer or distribute the custodial property to the minor (or minor’s estate) upon termination.

Depository Only; Indemnification. For all fiduciary accounts, Orion Financial acts solely as a depository and provider of banking services and does not undertake fiduciary or advisory responsibilities with respect to such accounts. You understand and agree that Orion Financial has no duty to review, interpret, or enforce any governing instruments related to a fiduciary account, or to determine whether any transaction or other act is permitted by, consistent with, or in compliance with such governing instruments or applicable fiduciary duties imposed by such documents or law. Orion Financial may honor transactions or other actions on an account without inquiry into the purpose or propriety of such activity. To the fullest extent permitted by applicable law, you agree to indemnify and hold Orion Financial harmless from claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) the establishment, titling, or use of a fiduciary account; (b) Orion Financial’s reliance upon instructions from authorized persons; or (c) disputes among beneficiaries, co-fiduciaries, heirs, or other interested parties—except to the extent caused by Orion Financial’s gross negligence or willful misconduct.

Fee Updates:

A Third-Party Payment Services Fee has been implemented in our Fee Schedule.

A fee of up to three percent (3%) of the transaction amount will be assessed each time you initiate a debit transaction from your account via a third-party person-to-person (P2P) payment application, including but not limited to CashApp®, Zelle®, Samsung Pay®, or similar services. The fee will be charged per transaction and deducted from your account automatically.

The fee does not apply to using a mobile wallet such as Apple Pay® or Google Pay® to pay a merchant in lieu of using your physical debit or credit card. It also does not apply to using the Send Money feature in the Orion Financial mobile app to send money to a phone number or email address.
